Terms of service
Last updated 2 November 2026.
These terms apply when you use abracodabra: the website at www.abracodabra.ai and the abracodabra workspace. By creating an account or using abracodabra you agree to them. If you use abracodabra for a company, you confirm that you can agree for it. Questions go to hello@abracodabra.ai.
1. What abracodabra does
abracodabra helps clients get AI software built. abracodabra's AI writes the requirements with you, matches the project with agencies that have proved the capabilities they claim, collects up to three quotes phase by phase, and runs delivery with a signed statement of work and milestone escrow.
abracodabra is a platform. The agencies on it are independent businesses, not our employees. When you choose an agency, the contract for the build is between you and that agency. When you choose the abracodabra team, it is between you and abracodabra.
2. Your account
- You must be at least 18 and give accurate details.
- Keep your password safe. You are responsible for what happens in your account.
- One account belongs to one person and can hold a client, a vendor and an agency workspace.
- We may refuse disposable email addresses and suspend accounts that break these terms.
3. For clients
- Describing the idea, the requirements document, matching, abracodabra's estimate and up to three agency quotes cost nothing. Nothing is charged before you choose a team.
- Requirements, estimates, matches and other AI output are drafts. Review them before you rely on them. They are not professional advice, and an estimate is not a quote.
- You pay the milestone prices in the statement of work you sign.
4. For agencies and vendors
- Tell the truth about what you offer. Proof must be your own real work, and references must be real customers who agreed to be contacted. We may check claims, ask questions and remove claims or accounts that are not true.
- A quote is an offer to the client for the scope described. It binds you once the client chooses you and the statement of work is signed.
- The platform fee is a percentage of each milestone price, 10% by default. We may agree a different rate with you. The rate and the amount appear on every milestone before you sign.
- Part of each milestone payout may be held back as a guarantee. The amount and when it is released are shown per milestone on the statement of work.
- Vendors listing products must describe them accurately.
5. Statements of work
Both the client and the agency sign the statement of work before any milestone can be funded. It sets the scope, milestones, prices, acceptance criteria and who owns the work. Where the statement of work and these terms differ about the build, the statement of work applies. These terms apply to the use of abracodabra itself.
6. Payments and escrow
- Payments run through Stripe, and you also agree to Stripe's terms. Agencies receive payouts through a Stripe connected account.
- The client funds each milestone before its work starts. The money is released to the agency when the client accepts the evidence for that milestone, or when a dispute about it is decided. We do not release it otherwise.
- The platform fee is included in the milestone price, not added on top for the client.
- Refunds of funded milestones follow the statement of work and dispute decisions.
- Each party is responsible for its own taxes.
7. Disputes about delivered work
If a client and an agency disagree whether a milestone meets its acceptance criteria, either of them can open a dispute in the workspace. Some disputes go to an independent reviewer. The decision settles the milestone money held on abracodabra. It does not stop either side from using other legal remedies.
8. Your content and ownership
- You keep ownership of what you upload. You allow us to store and process it, including with our AI providers, and to show it to the people on your project, only to run abracodabra.
- Who owns what an agency builds is set by the statement of work.
- abracodabra's website, software and brand belong to us.
- We may use anonymised figures across projects to improve estimates, and publish cost guides only from projects whose clients agreed.
9. Acceptable use
Do not use abracodabra to break the law, upload malware, infringe anyone's rights, mislead other users, send spam (including to references), scrape or overload the service, or get around its security or access rules.
10. Confidentiality
Information you see on a project is shared with you for that project. Do not share another party's confidential information outside the project without their permission.
11. No guarantees
We check agencies' claims as described on abracodabra, but verification is not a guarantee of any agency's work. abracodabra and its AI output are provided as they are, and we do not promise the service will always be available or free of errors.
12. Liability
As far as the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability for any claim is limited to the greater of the platform fees we received for the project concerned in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that the law does not allow to be limited.
13. Suspending or closing an account
You can close your account by emailing hello@abracodabra.ai. Open statements of work and funded milestones are settled first. We may suspend or close an account that breaks these terms, puts other users at risk, or when the law requires it.
14. Changes
When we change these terms we update the date at the top. If a change matters, we tell you by email or in your workspace before it applies. Using abracodabra after that means you accept the new terms.
